1. Acceptance of Terms
By accessing and using the services of OG Media 360, operated by JAINENDRAMANI MEDIA NETWORK PRIVATE LIMITED ("Company," "we," "us," or "our"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. Services Description
OG Media 360 provides media distribution, campaign execution, content creation, and related marketing services. Our services include but are not limited to:
Brand campaign development and execution
Podcast and founder distribution services
Funding, PR, and news distribution
Strategic distribution and visibility services
Content creation and media placement
3. Service Agreements
Specific terms for each service engagement will be outlined in a separate service agreement or contract. These Terms and Conditions apply to all services unless explicitly modified in a written service agreement signed by both parties.
4. Client Obligations
As a client, you agree to:
Provide accurate, complete, and timely information necessary for service delivery
Obtain all necessary rights, permissions, and approvals for content and materials provided to us
Comply with all applicable laws and regulations
Make timely payments as agreed in the service contract
Not use our services for any illegal, fraudulent, or harmful purposes
Respect intellectual property rights of third parties
5. Payment Terms
Payment terms will be specified in your service agreement. Generally:
Payments are due as per the agreed schedule in the service contract
Late payments may incur interest charges as specified in the contract
We reserve the right to suspend or terminate services for non-payment
All fees are non-refundable except as explicitly stated in our Refund & Cancellation Policy
6. Intellectual Property
Client Content: You retain ownership of content and materials you provide to us. By providing content, you grant us a license to use, modify, and distribute such content as necessary to provide our services.
Our Content: All content, materials, strategies, and intellectual property created by us in the course of providing services remain our property unless otherwise agreed in writing. You may use deliverables for the purposes specified in the service agreement.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary and confidential information shared during the course of our engagement. This obligation survives termination of the service agreement.
8. Service Modifications and Cancellation
We reserve the right to modify, suspend, or discontinue any service at any time. Service cancellations are subject to our Refund & Cancellation Policy. Campaigns and media placements that have been executed cannot be reversed or refunded.
9. Limitation of Liability
To the maximum extent permitted by law, OG Media 360 and JAINENDRAMANI MEDIA NETWORK PRIVATE LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use of our services.
Our total liability for any claims shall not exceed the total fees paid by you for the specific service giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless OG Media 360, JAINENDRAMANI MEDIA NETWORK PRIVATE LIMITED, and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
Your use of our services
Content or materials you provide to us
Your violation of these Terms and Conditions
Your violation of any third-party rights
11. No Guarantees
While we strive to deliver high-quality services and achieve campaign objectives, we do not guarantee specific results, metrics, or outcomes. Media distribution, audience engagement, and campaign performance depend on various factors beyond our control.
12. Third-Party Services
Our services may involve third-party platforms, media partners, and service providers. We are not responsible for the actions, policies, or services of third parties. Your use of third-party services is subject to their respective terms and conditions.
13. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet failures, or acts of third parties.
14. Dispute Resolution
Any disputes arising from these Terms and Conditions or our services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.
15. Modifications to Terms
We reserve the right to modify these Terms and Conditions at any time. Material changes will be notified to existing clients. Continued use of our services after changes constitutes acceptance of the modified terms.
16. Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms and Conditions, together with any service agreements, constitute the entire agreement between you and OG Media 360 regarding the use of our services.
